Your privacy and confidentiality are important to us, so we developed this mutual Non-Discloser Agreement. In short, this means that we will never disclose your information to a third party without your authorization, and we ask for the same in return from you.

Confidentiality & Non-Disclosure Agreement

This Confidentiality & Non-Disclosure Agreement is entered into by Simpliphy, Inc. and the company represented by the signee. The term “Confidential Information” means any information or data that concerns the Disclosing Party’s past or present vendors, customers, business partners, plans, strategies, financial condition, software, product and service offerings, methodologies, models, architectures, or other proprietary technology or intellectual property or should otherwise reasonably be understood to be confidential or proprietary to the Disclosing Party given the nature of the information and the context in which it was disclosed.

  • Use the Confidential Information only in connection with and in furtherance of the Purpose or as may otherwise be permitted by another written agreement between the parties;
  • Restrict disclosure of the Confidential Information solely to those employees, agents, and independent contractors of the Receiving Party with a need to know in order to accomplish or effect the Purpose, and the Receiving Party’s attorneys, accountants, and auditors, who are subject to obligations of confidentiality no less restrictive than those imposed by this Agreement (collectively, “Authorized Parties”);
  • Advise Authorized Parties who gain access to Confidential Information of their obligations with respect to the Confidential Information and be responsible for any breach of this Agreement by any Authorized Party;
  • Safeguard the Confidential Information with at least the same degree of care to avoid unauthorized disclosure and use as the Receiving Party uses to protect its own confidential information, but in no event less than a reasonable standard of care.
